This will probably work - 4 out of 5 Ultra5 motherboards will support
the 440 MHz CPU, just make sure you don't have a 375-0009. The rest
of these are all OK:
375-0066
375-0079
375-0115
375-3060
Also - and this is merely speculation - the Ultra 5 chassis may not
have sufficient cooling to handle a 440 MHz CPU. I'd do my best to
keep ambient (room) temperature on the low side - certainly no more
than 80 Fahrenheit, and maybe an external fan to keep up the air
circulation around the unit.
